Capitalization at a glance

This Page explains how to:

View Cap tables

Navigate to [Capitalization] → [By Stakeholder]

Here, you can view the cap table, including the number of shares (Common stocks, Preferred stocks, Stock options) and the percentages of shares (Outstanding, Fully Diluted basis) owned by each stakeholder.

To download the cap table as an excel file, you can click on the Download Excel button on the top left corner.

Note on Percentage ownership:
Outstanding basis - Displays the percentage ownership based on the current shares that have already been issued.
Fully Diluted basis - Displays the percentage ownership assuming all possible sources of additional issuance – such as stock options – have been issued (Fully diluted). This percentage does not reflect securities such as Convertible Bonds as of now.

View Outstanding Securities by Types and Classes

Go to [Capitalization] → By [Security]

  • By Security Type: You can check the number of all outstanding securities by type, including unexercised stock options.
  • By Class/Plan: You can check the number of outstanding securities by share classes and option plans, including unexercised stock options.
  • Outstanding Securities: You can check the number of shares, shareholding percentage and number of stakeholders of outstanding securities across all classes and plans.
  • Note: [By Security] page displays the number of shares and shareholding percentage on a fully diluted basis, under the assumption that all unexercised stock options have been completely exercised.

    View Financing History

Go to [Capitalization] → [Financing History]

You can view all financing histories and company’s funding rounds. You can check the valuation of the company and funding amount per round.

Run New Investments & Exit Simulations

Go to [Capitalization] → [Scenario Simulation]

You can run a simulation to see how a new investment will change current ownerships. You may download the results before and after the simulation as an excel file. Enter in the Pre-Money Valuation and the Investment Amount before the hypothetical investment.

You can also run exit scenario simulations to see the total proceeds of each stakeholder based on the post-money valuation. Each simulation is based on the current shareholding percentages and does not consider unexercised stock options. It assumes preferred stocks are non-participating.
